Terms of Service

1. Agreement to Terms

By accessing or using ACTower's services, website (actower.io), CLI tool, or any related software (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

ACTower provides a monitoring and control tool for AI coding agents running in tmux terminal sessions. The Service includes:

• A CLI tool that monitors agent activity and classifies questions
• A desktop application for visual agent oversight and one-click approvals
• Auto-approval of safe actions based on pattern classification
• Audit logging of all monitored actions
• A web platform for account management and subscription billing

The CLI tool and desktop application run entirely on your local machine. Our cloud services are limited to account management, license validation, and subscription billing.

3. Accounts and Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Billing

4.1. Plans

ACTower offers the following plans:

• Free: Up to 5 monitored panes, auto-approve, the desktop app and local web app, and local audit logs — no payment required.
• Plus: Everything in Free, plus unlimited panes, JSON log export, and priority email support.
• Business: Everything in Plus plus volume licensing (10+ seats), centralized invoicing, bulk license key issuance, and priority support.

4.2. Billing

Paid subscriptions are billed monthly or annually through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

4.3. Cancellation

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date. No refunds are provided for partial billing periods.

4.4. Price Changes

We may change our subscription prices with at least 30 days' notice. Price changes will apply at the start of your next billing cycle after the notice period.

5. License Keys

Paid subscribers receive a license key for CLI activation. License keys are:

• Personal to your account and non-transferable
• Subject to periodic validation against our API
• Revoked upon subscription cancellation (at period end)

You may not share, sell, or distribute your license key. Unauthorized distribution may result in immediate revocation.

6. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the software
• Circumvent license validation or feature restrictions
• Use the Service in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Redistribute, sublicense, or resell the Service

7. Intellectual Property

The Service, including its code, design, documentation, and branding, is owned by ACTower and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service according to your plan.

Your code, repositories, and agent session content remain entirely yours. ACTower does not claim any rights to your data.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that:

• The Service will be uninterrupted or error-free
• Agent classifications will be 100% accurate
• Auto-approved actions are guaranteed safe for your specific use case

You are responsible for reviewing agent actions in your development environment. ACTower is a monitoring aid, not a substitute for developer judgment.

9. Limitation of Liability

To the maximum extent permitted by law, ACTower shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or business opportunities, arising from your use of the Service.

Our total liability for any claims arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless ACTower from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms. Upon termination, your license key will be revoked and access to paid features will cease. Provisions that by their nature should survive termination (including warranty disclaimers, limitation of liability, and indemnification) will remain in effect.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on our website at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which ACTower operates, without regard to conflict of law principles.
